The proposition that directors owe their duty to the company (the shareholders) is one that is receiving a great deal more attention. As a result of the growing importance of issues surrounding corporate governance principles and these being given greater weight, there are now a much wider range of stakeholders expressing an interest in how companies should be governed. They are also seeking appropriate action in regards to how directors deal with these interests.
Do directors owe their duties only to the company (the shareholders) or should they take into account other interests? Yes or no, explain why.

• How you have analysed and evaluated the subject-matter of the essay.

• How you have applied legal, academic and judicial sources.
• How you structured and presented the essay.
• A judgment as to the overall value of the final outcome, and its relative welfare gains when compared to alternative outcomes that might have been reached.
